Head of Governance

Head of Governance – Charity Sector – Central London / Hybrid – up to £85k – 1 year FTC

We’re looking for an ICSA part/fully qualified Head of Governance, with proven experience working in governance roles within the charity / non-profit sectors to join a successful organisation in Central London on a 1 year FTC (with the possibility if extension / permanent role). 

The Head of Governance will oversee and lead the organisation’s work streams spanning governance, compliance, audit and risk, therefore we’re looking for someone with in-depth experience leading on governance, risk management, data protection / GDPR regulations and compliance requirements. 

The role: This is a 12m FTC starting imminently, with the possibility that the contract could be extended or converted to a permanent position.


Key responsibilities as the Head of Governance will include:

  • Leading the work streams spanning governance, compliance, audit and risk
  • Developing and maintaining effective governance arrangements in relation to best practice guidance from the Charity Commission
  • Managing the election process for Trustees and Council including support and advice to the Nominations Committee
  • Overseeing the processes for identifying, reporting and mitigating risks for the organisation 
  • Managing internal audit programmes
  • Devising a cycle of continuous improvement and clearly communicating across workstreams
  • Acting as the Data Protection Officer and leading the process to ensure company-wide compliance with GDPR and other legislative requirements
  • Leading on the management of the corporate risk register 
  • Overseeing the ‘Business Continuity Plan’ and undertaking periodic assessments, providing recommendations when required 
  • Preparing governance, risk and compliance budgets, forecasts and plans
  • Researching, developing and implementing systems to improve the governance and compliance  function’s effectiveness
  • Leading the risk, governance and compliance team

What we’re looking for: 

  • ICSA part or fully qualified governance qualification (or similar)
  • Proven experience working in governance within a charity 
  • In-depth experience of charity regulation, governance and constitutional matters
  • Strong working knowledge and application of GDPR regulations and compliance requirements
  • Agile or Prince 2 project management 
  • Experience leading on risk management and data protection is highly advantageous 
  • Experience delivering a business continuity programme is sought 
  • Strong and effective communication skills with the ability to communicate professionally
  • Excellent influencing and negotiation skills
  • Good commercial acumen with the ability to make recommendations for business focused solutions
  • Experience in systems improvement and implementation is beneficial 
  • A proactive, results-driven self-starter
  • IT literate with strong MS Office
